The VirtEngine protocol implementation is Apache-2.0 on GitHub — the entire
chain, marketplace, identity, and provider stack. The constitution empowers the
foundation to publish and open-source its technology
cl 6.2.5 cl 37.1, and requires licensing models
that support auditability, interoperability, and public trust
cl 37.2.
Open specifications & documentation
Public research, open technical education, open specifications, standards, and
safety materials are the foundation's first charitable purpose
cl 6.1.1. The living expression is
docs.virtengine.com and
the in-repo operational documentation.
Patents held for public benefit
Patent rights are stewarded to prevent private capture of core public-benefit
protocols — not to extract rents. Holding, licensing, and enforcing IP is
permitted only to advance the purposes cl 7.2, and the patents
are Protected Provision assets sch 1.
Code of conduct
The directors must adopt and maintain a Code of Conduct giving practical effect
to the purposes, public-interest duties, privacy and safety commitments, and
anti-private-capture principles cl 10.1. It binds directors,
staff, contractors, volunteers, members, and anyone with privileged system
access cl 10.2.
Conflict & confidentiality undertakings
Privileged access to systems, confidential information, digital assets, or
Transferred Assets can be conditioned on signed confidentiality,
conflict-of-interest, and access undertakings cl 10.3. Conflicts
must be disclosed, registered, and excluded from the vote
cl 30.1 cl 30.3.
Records & accountability
The foundation must keep minutes, financial records, and registers of assets, IP,
keys, custody arrangements, conflicts, and related-party transactions, retained
for at least seven years cl 53, and must hold an AGM or send
members an annual activity and finance report cl 43.1.
